COLLABORATION WITH A DEFINED SCOPE
Collaboration terms.
Summary of the updated contract. Amounts marked as proposals are agreed with each creator in the addendum before work starts.
1. Plans and languages
Core: 30% to Niko Media and 70% to the creator. Premium: 50% to each party. Premium replaces the Core percentage. Only the agreed channels, languages, platforms and content are included; the original channel is excluded.
2. Core and NikoText Session
Includes translation and cultural adaptation, voice, lip sync, channel creation and management, publishing, SEO, thumbnails, community management and monthly analytics. In NikoText Session, we guide the creator's editor and review the text; their editor carries out the visual changes.
3. Premium and NikoText Complete
Adds Shorts, A/B tests where available, community posts, strategy, monetization optimization, a monthly call and an analytics dashboard. Niko Media translates and replaces the agreed text and visual elements, aiming to preserve style, placement and motion. Complexity, materials and required files are assessed before accepting each video. Any additional scope or cost requires written approval.
4. Proposed capacity per language
The addendum proposes up to 4 long-form videos and 60 source minutes per month, with a maximum of 20 minutes per video; both limits apply. Premium adds up to 8 Shorts of 60 seconds. Standard visual replacement: up to 40 elements per long-form video and 10 per Short. Each text area in a continuous shot counts as one element; a new shot, text or separately tracked area counts again.
5. Sessions and management
Proposal: one Core session of up to 60 minutes per month and review of agreed exports; Premium adds a 45-minute call, up to 4 posts and 2 title or thumbnail tests with 2 variants each. Community management: up to 2 hours per week. The signed addendum defines total quantities across languages. Capacity unused by the creator does not automatically roll over; work delayed by the agency remains due or is rescheduled in writing.
6. Quality and approval
Proposal: two preference revision rounds per deliverable; agency errors are corrected separately at no additional cost. The creator has 5 business days to approve or comment. Silence is not approval. First draft expected within 7 business days of complete intake and the agreed start; revisions within 3 business days. Missing materials or responses pause the affected deadlines.
7. Net revenue
Includes revenue received or available for withdrawal from localized channels: advertising, Premium allocations, Shorts, memberships, tips and paid features, plus sponsorship and affiliate revenue attributable to covered content. Mixed revenue requires a documented allocation. The original channel and unrelated businesses are excluded. Only refunds, indirect taxes collected and platform or payment fees not already deducted may be deducted. Salaries, GPUs, AI, software, editing, marketing and overhead costs are not deducted.
8. Reports and payments
The creator receives platform payments and pays Niko Media by bank transfer or another documented method. Proposal: reports by the 10th of the following month and payment within 15 calendar days of receiving the invoice and supporting calculation. Settlement in euros, with invoice taxes separate. Read-only analytics access or verifiable reports are provided. Undisputed amounts are paid on time. Automatic YouTube revenue splitting is not assumed.
9. €500 deposit
Secures overdue, documented financial obligations; it is not revenue or an initial service fee. It is returned no later than three calendar months after effective contract termination, not from notice or payment of the deposit. Only unpaid overdue revenue shares and expressly approved third-party expenses may be deducted. Disputed deductions are documented and follow the contract procedure; the undisputed balance is returned on time.
10. Term and exit
Month-to-month collaboration with 30 calendar days' notice. Six months of post-termination revenue sharing is proposed, exclusively on agency-produced deliverables approved and published before termination and identified in the register. Each video's percentage is set on approval. It excludes new videos by others, the original channel and unrelated revenue. No post-termination sharing arises if the creator terminates for the agency's uncured material breach. Express acceptance is required.
11. Ownership and handover
The creator owns and controls original and localized channels and payout accounts. The agency has limited permissions. The agency's own rights in deliverables transfer on approval under the contract. Internal tools remain Niko Media's. Handover of materials and outstanding administration within 10 business days of termination, and return or deletion of materials within 30 days, are proposed, subject to justified retention.
12. Voice and likeness
Voice cloning, English dubbing, lip sync and publication require specific signed authorization, completed for each person including the creator. For other participants, the creator supplies their permissions or proves sufficient authority. Other languages require additional authorization. Unrelated statements, model resale and general-purpose model training are not permitted. Valid withdrawal of consent is respected.
13. Confidentiality and formalization
Confidentiality continues after termination. Where applicable, a data-processing agreement is signed before access. Revenue and platform results are not guaranteed. The template retains Spanish law, subject to applicable mandatory rules. The parties' details, scope, permissions and acceptance of terms are completed before signing. This summary does not replace the signed agreement.
